Mastercopy provides managed print, managed IT and managed intelligence services. Specific terms relating to individual services or products will be set out in separate service agreements, statements of work or quotations provided to you. In the event of any conflict between these Terms and a specific service agreement, the service agreement shall prevail.
All quotations provided by Mastercopy are valid for 30 days from the date of issue unless otherwise stated. Prices are exclusive of VAT unless expressly stated otherwise. We reserve the right to amend prices at any time, but changes will not affect orders already confirmed in writing.
Unless otherwise agreed in writing, payment terms are 30 days from the date of invoice. We reserve the right to charge interest on overdue invoices at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
You agree to indemnify, defend and hold harmless Mastercopy Limited, its directors, officers, employees and agents from and against all claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your use of our website or services.
Both parties agree to keep confidential any information designated as confidential or which would reasonably be considered confidential, and to use such information only for the purposes of the business relationship between the parties. This obligation shall survive termination of any service agreement.
We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018. Where we process personal data on your behalf, the parties will enter into a data processing agreement as required by applicable law.
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, pandemic, government actions, fire, flood, earthquake, civil unrest, terrorist acts, power failure, internet or telecommunications failure.
We may terminate or suspend your access to our website immediately, without prior notice, for any reason including breach of these Terms. Upon termination, your right to use the website will cease immediately. Termination of service agreements will be governed by the terms of the relevant service agreement.
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mastercopy Limited in relation to your use of our website. Any specific service agreements will supplement (but not replace) these Terms in relation to the services covered by that agreement.
We reserve the right to amend these Terms at any time. Changes will be effective immediately upon publication on this page. Your continued use of our website following any changes constitutes acceptance of the revised Terms.
